Port Macquarie’s Koala Hospital is a not-for-profit facility that not only treats sick and injured koalas but is also involved in conservation, education and research into koala diseases and habitat.  Over the last few years scientific research and collaboration with research institutions, government agencies and wildlife organisations has grown, and we have become an authoritative body  in the care and rehabilitation of koalas.

The Secretary will be responsible for the corporate governance of the Koala Hospital and supports the Board by managing the business of the Board, including by ensuring compliance with the Australian Charities and Not-for-profits Commission (ACNC) Governance Standards. The main responsibilities include -

  • Prepare and distribute agendas and minutes of meetings.
  • Maintain records of agendas, minutes and other correspondence and documentation (including notices of meetings) of general meetings, director’s meetings and circular resolutions.
  • Ensure monthly Koala statistics are provided to the Board in a format that complies with external record keeping and reporting requirements.
  • Ensure minutes of meetings and circular resolutions are signed by the chairperson within a reasonable time after the resolution has been passed or the meeting has been held, as applicable.
  • Ensure all records are up to date, accurate and accessible to the Board or others authorised to view them.
  • Maintain copies of all legislation, regulations, rules and contracts that apply to the operation of the Koala Hospital.
  • Implement procedures to ensure that compliance with all legislation, regulations, rules and contracts that apply to the operation of the Koala Hospital are monitored and reported against to the Board on a regular basis.
  • Develop procedures for receipt, recording, distribution and timely response for all correspondence and enquiries relating to the organisation’s legislative, regulatory and contractual requirements or pertain to the operation of the Board.
  • Receive membership applications for submission to the Board for approval and maintain the Koala Hospital’s membership register.

The Secretary must also be appointed as a Director in accordance with clause 54.4 of the Constitution of Koala Conservation Australia Limited. The Secretary must also ensure they comply with clause 55 of the constitution in respect to the management of minutes and records and with all other provisions as a member, Secretary and Director. All directors must understand their legal duties and ensure they do not breach the Constitution or Code of Conduct.The appointed Secretary must give their signed consent to act as Secretary.

Skills and Experience -

  • Experience as a
  • company Director or Secretary is highly desirable.
  • Experience as Committee Chair or board member within a corporate or regulated environment.
  • An ability to promote a positive culture within the Koala Hospital and to act ethically and responsibly at all times.
