Role Overview Provide independent oversight and strategic guidance to the CEO, board members and leadership team Uphold Worthy Cause’s mission, vision and values Implement and oversee the new governance structure including sub-committees, meeting cadence and strategic planning processes and then oversee the Board

Key Responsibilities and Duties

Board Leadership and Governance Oversight

  • Provide leadership and direction to the Board and CEO
  • Lead creation and implementation of board structure and governance reforms
  • Details provided in briefing paper
  • Strategic Direction and Planning
  • Lead development of a new long-term strategic plan
  • Facilitate annual strategy day
  • Monitor implementation of strategic goals and assess performance against key milestones

Meeting Management and Board Cadence

  • Chair and oversee preparations for formal Board meetings
  • Encourage fair, meaningful and inclusive discussion from all directors
  • Oversee sub-comittees of the Board
  • Board Composition and Performance
  • Support induction, mentoring and ongoing development of directors
  • Lead annual Board performance reviews

Stakeholder Representation

  • Act as an ambassador for Worthy Cause’s mission and values
  • Foster and maintain relationships with funders, regulators, community partners and key stakeholders
  • Legal and Governance Duties
  • Act with care, diligence and good faith in the best interests of Worthy Cause
  • Ensure the Board collectively meets its statutory and governance obligations

Required Skills, Experience and Attributes

  • Extensive governance and leadership experience, ideally in not-for-profit or social enterprise sectors
  • Strong understanding of compliance, risk and financial oversight
  • Strategic mindset with proven ability to lead organisational growth and change
  • Excellent communication, facilitation and stakeholder engagement skills
  • Experience in chairing boards or sub-committees
  • High ethical standards
  • Alignment and commitment to Worthy Cause’s purpose
