Role Purpose
As a Non-Executive Director, you will contribute to the strategic direction, governance, and sustainability of Vancy Australia Ltd. You will act in the best interests of the company, upholding its purpose and values, while providing oversight and independent judgment on issues of strategy, performance, risk, and compliance.
Key Responsibilities
- Governance and Compliance
- Fulfil legal duties as a company director under the Corporations Act 2001 and the company’s Constitution.
- Ensure Vancy Australia Ltd adheres to the ACNC governance standards and complies with its charitable obligations.
- Uphold and monitor the effectiveness of governance policies, risk management, and internal controls.
- Strategic Oversight
- Provide independent oversight on the implementation of the organisation’s strategic and operational plans.
- Constructively challenge proposals and contribute to decision-making processes.
- Financial Oversight
- Review financial statements, budgets, and reports.
- Ensure the organisation remains financially viable and ethically sound.
- Board Participation
- Attend regular board meetings and the Annual General Meeting (AGM).
- Serve on sub-committees as required (e.g., Risk, Audit, or Governance Committees).
- Advocacy and Representation
- Promote the mission and values of Vancy Australia Ltd in the community.
- Leverage networks to enhance the company’s visibility, partnerships, and fundraising capacity.
Selection Criteria
- Demonstrated experience in governance, strategic planning, or leadership within not-for-profit, community, or public sectors.
- Understanding of legal, ethical, and fiduciary duties of a company director.
- Alignment with Vancy Australia Ltd’s purpose, values, and community-centred approach.
- High ethical standards, independence of thought, and sound judgment.
- Excellent communication and collaborative skills.
- Availability and willingness to commit time and expertise to board duties.
Desirable Attributes
- Experience in child protection, foster care, community services, or Aboriginal and Torres Strait Islander communities.
- Knowledge of funding and regulatory environments, especially involving NSW DCJ or NDIS.
- Previous board or governance committee experience.
Time Commitment
- Approximately 4–6 board meetings annually
- Participation in at least one sub-committee
- AGM and strategic planning events as scheduled
