About Sharks And Rays Australia Research Ltd. We are a well established not for profit organisation in Far North Queensland, that works with endangered sharks and rays, including sawfish, both in Queensland (field work, collaborations with Aboriginal Land and Sea Ranger groups, collaborations with local schools) and Australia wide (Citizen science project identifying sawfish distributions). As a not-for-profit research organisation, the governance of SARA-r is divided into the business side (Board of Directors) and the research side (Research Board). Our research board brings together 7 internationally renowned biologists, who represent essential expertise on the unique sharks and rays of Northern Australia.

Vacancies: Our Board of Directors currently comprises 3 directors, and so we are seeking 1 – 2 highly motivated Non-Executive Directors and a board secretary. the board secretary can be a director, but these roles can also be separated.

Legal compliance & Governance • Ensure adherence with the Organisation’s Constitution and carry out other functions required of the Board Secretary by the Constitution. • Ensure that the Company complies with its statutory obligations under any relevant laws and regulation. • Assist the Board to ensure the completion and lodgement of statutory forms and reports under the Corporations Act 2001 (Cth), ACNC Regulations 2013 (Cth) and other relevant legislation including annual reports. • Update ACNC change in directors and other office holders. • Maintain accurate statutory records and ensure requisite retention of documents and records. • Ensure that the highest standards are deployed across the organisation to fulfil any legal obligations and ethically throughout the organisation to ensure the best industry standards are maintained. • Keep informed of developments in legal compliance requirements, not-for-profit management and governance, philanthropy, social enterprises and fund development. • Liaise and correspond with relevant regulators including: ACNC, and other relevant state and territory based bodies.

Meetings and administration • attend Board meetings (currently every 6 weeks, 2.5 hours per meeting) and other meetings, where relevant. • Schedule Board meetings and confirm attendance of Directors. • Prepare & circulate Board papers. • Take minutes and actions. • Assist the Chairperson and Directors in the conduct of meetings and their director duties and governance obligations and responsibilities. • Assist with preparation and lodgement of periodic financial reports as required and liaise with accountants, auditors, lawyers and other professional advisers in relation to various corporate matters. • Ensure financial records are prepared and lodged in a timely manner. • Organise and attend research board meetings (3-4 per year)

Selection Criteria Essential • High computer literacy including MS Teams and MS Office applications • Commitment to the role and ability to devote required time and diligence • Ability and willingness to learn necessary skills and competencies • Attention to detail • Understanding of Board member duties and responsibilities • Excellent communication and team work

Highly Desirable • Experience as a Board Secretary or in a similar governance role. • Experience in an administrative role in a professional environment • Legal qualifications and/or experience will be viewed upon favourably
