Gaining Ground WA is a women-founded, women-led not-for-profit organisation committed to empowering young women and girls in sport. Our mission is to champion female participation by fostering joy, connection, and a sense of belonging. We equip women and girls with tools to support their wellbeing and develop into confident leaders within their clubs and communities.
JOB TITLE: Company Secretary
JOB TYPE: Volunteer – Part-Time 2 -3 hours per week
PURPOSE
Serving as the primary point of contact for the board of directors, members and regulatory authorities on corporate governance matters. The company secretary will facilitate the company’s corporate governance processes and ensure that the board's processes run efficiently and effectively.
GOALS
- Board agendas and papers are circulated agreed timelines.
- Compliance with legislative requirements
- A comprehensive and up-to-date policy framework
- Internal communication is standardised
MAIN DUTIES/RESPONSIBILITIES:
Meetings
Act as the point of contact for board correspondence and ensure timely responses to internal and external inquiries.
Facilitate effective communication between board members, staff, and external stakeholders.
Assist in preparing and distributing governance documents including the agenda, papers board and any associated policies
Recording, maintaining, and distributing the minutes of all board and board committee meetings as required
Recording, maintaining, and distributing the minutes of all general meetings of the company.
Lead the secure storage and accessibility of organisational records, both digital and physical.
Compliance
Overseeing the company’s compliance program and ensuring all company legislative obligations are met.
Conduct review of existing policies to identify gaps and areas for improvement and support development of strategic plan to address gaps aligning them with legislative requirements.
Ensuring all requirements of ASIC, the ATO, and any other regulatory body are fully met.
Providing counsel on corporate governance principles and director liability.
BOARD ENGAGEMENT
Collaborate with the Executive Director and Treasurer to support safe financial management processes.
Support the administration of board recruitment, onboarding and resignation.
Actively participate in board meetings, contributing to broader strategic discussions.
SKILLS & EXPERIENCE Experience in governance, compliance, or legal administration — preferably within a nonprofit or small business.
Proficiency in using document management systems, email platforms, and virtual meeting tools (e.g., Google Workspace, Zoom).
Ability to work independently and collaboratively with the board and executive team.
