Comms Declare is a registered charity operating in Australia with a focus on ending fossil fuel promotions and supercharging clean communications.
We represent more than 100 organisations and hundreds of communications professionals who have declared they will not promote:
- The growth of fossil fuels
- High greenhouse gas pollution as ‘business as usual’
- Deception, distraction or spin around science or climate actions.
Comms Declare also runs the Fossil Ad Ban campaign, which has had considerable success in advocating for national and sub-national restrictions on the marketing of fossil fuels, in recognition of the harm they cause to our health and climate.
We are looking for an experienced Secretary to oversee the organisation’s responsibilities as an Incorporated Association and registered charity as we aim to expand our operations and influence.
The successful applicant will have to be approved by Committee vote.
Roles & Responsibilities Governance & Compliance:
- Ensure compliance with the NSW Associations Incorporation Act and other relevant legislation.
- Prepare and lodge required documents with regulatory bodies (e.g., ACNC etc).
- Maintain up-to-date knowledge of relevant legislation and advise the Board on governance matters.
Committee Support & Administration:
- Organise Committee meetings, including scheduling, agenda preparation, and minute-taking.
- Ensure that Committee resolutions and actions are properly documented and implemented.
- Manage correspondence and communication between the Committee and key stakeholders.
- Assist with Committee member induction and training on governance matters.
Records & Reporting:
- Maintain relevant statutory registers, records, and the association’s constitution.
- Manage and store official documents, including meeting minutes and policies.
- Prepare and submit the association’s reports and other required filings.
Risk Management & Ethics:
- Support the development and implementation of governance policies and frameworks.
- Identify and mitigate governance-related risks.
- Promote ethical decision-making and best practices in governance.
Other Duties
- Liaise with the President, General Manager and Treasurer
- Act to maintain and improve systems and processes
- Administration tasks as required
**Skills and Capabilities: **Essential:
- Understanding of governance and compliance requirements, ideally for Incorporated Associations.
- Experience in secretarial duties, governance, or legal compliance.
- Strong organisational and administrative skills with attention to detail.
- Excellent communication and interpersonal skills.
- Deep passion for combating climate change
Desirable:
- Experience working with not-for-profit or membership-based organisations.
- Knowledge of ACNC (Australian Charities and Not-for-profits Commission) compliance.
- Formal qualifications in governance, law, business administration, or a related field.
- Ability to use Google Workspace
