The organisation advocates for greater awareness, research, funding, and support for these conditions while providing educational and supportive resources to healthcare professionals.

Position Overview:

We are seeking a dedicated and experienced individual with a strong background in NFP/charity law or accounting to join our Board of Directors. As a Board Member, you will play a critical role in guiding the strategic direction of the charity, ensuring robust governance, and providing expert advice on legal or financial matters. Your expertise will be vital in ensuring that Hyperemesis Australia operates in compliance with relevant laws and maintains sound financial practices.

Key Responsibilities:

Governance and Strategy:

  • Contribute to the development and oversight of the charity’s strategic plan
  • Ensure the charity’s activities are in line with its mission and values
  • Participate in board meetings, committees, and annual general meetings

Legal Oversight (For Legal Experts):

  • Provide expert advice on legal matters, including contracts, partnerships, compliance, and risk management
  • Review and ensure the charity's policies, procedures, and activities comply with relevant laws and regulations
  • Assist in drafting, reviewing, and negotiating contracts and agreements as needed

Financial Oversight (For Accounting Experts):

  • Provide expert advice on financial matters, including budgeting, financial planning, and risk management
  • Review and analyse financial statements and reports to ensure accuracy and transparency
  • Ensure that the charity maintains sound financial practices and complies with relevant accounting standards
  • Act as Board Treasurer

Risk Management:

  • Identify and assess potential risks to the charity’s operations, reputation, and financial stability
  • Develop and recommend strategies to mitigate identified risks

Advocacy and Representation:

  • Act as an ambassador for the charity, promoting its work and values to external stakeholders
  • Assist in fundraising efforts by leveraging your professional network and expertise

Collaboration and Teamwork:

  • Work collaboratively with other board members, charity staff and volunteers
  • Serve on board committees as required and contribute to the overall effectiveness of the board

Key Qualifications:

Legal Experts:

  • Qualified solicitor, barrister, or legal professional with significant experience in not-for-profit law, charity governance
  • Knowledge of charity law, contract law, employment law, or regulatory compliance
  • Experience providing legal counsel to organisations, ideally in the nonprofit or charity sector

Accounting Experts:

  • Qualified accountant (e.g., CPA, ACCA, CIMA) with significant experience in financial management, auditing, or accounting
  • In-depth knowledge of financial reporting standards, budgeting, and risk management
  • Experience providing financial oversight to organisations, ideally in the nonprofit or charity sector

General:

  • Strong understanding of governance and the role of a nonprofit board
  • Excellent communication and interpersonal skills
  • Demonstrated ability to think strategically and provide constructive advice
  • Commitment to the charity’s mission and values
  • Previous board experience is desirable but not essential

Time Commitment:

  • Attend regular board meetings (e.g., quarterly) and any additional committee meetings as required
  • Be available for consultations on legal or financial matters as needed
  • Participate in annual strategic planning sessions and the Annual General Meeting (AGM)
