Company Secretary (Volunteer)

Our organization’s primary focus is in three provinces in Cambodia: Kampot, Kampong Speu and Takeo provinces, through the following key programs:

  1. Water, Sanitation and Hygiene (WASH): Construct and maintain water supply systems in schools; construct toilets, hand washing facilities, incinerators for schools; and provide children education on health and hygiene including caring for the environment. Our water supply facilities cover 900 schools benefiting over 200,000 students.
  2. Education: Provide free English, computer, non-formal and preschool classes; operate library and mobile libraries; construct school building facilities and manage a Community Village School. Almost 2,000 students benefit from our daily classes.
  3. Health Care: Provide dental services including dental treatment, oral health education to school children and teachers. We operate the biggest network of dental clinics by an NGO in Cambodia and provide treatment to over 20,000 students a year.
  4. Community Development: We support integrated services for poor target families to enhance their social and economic status including improving living conditions at home and keeping their children at school. We provide seed funding for financial empowerment activities including livestock farming and small businesses.

About the role

As a governance specialist, this role plays an important part in supporting the Board to effectively meet its responsibilities and obligations under the Australian Charities and Not for Profit Commission (ACNC) Act, the Corporations Act 2001 and other applicable legislations.

The scope of the role includes legal compliance and governance activities while working closely with the Board to manage ongoing company secretarial and board governance requirements. In addition, as an Officer under the Corporations Act, the position has many of the same duties and obligations as a director. As the Company Secretary, the role: • Provides high quality secretariat and governance services • Supports the Board to carry out their responsibilities • Requires discharging duties with care and diligence, in good faith and for a proper purpose.

While we have an office in Camperdown, Sydney, most of the work is conducted remotely and in a work-from-home environment with meetings undertaken via Zoom.

Key Qualifications and Experience (Preferred): • Relevant qualification preferably related to governance or legal related studies • Past experience in Company Secretarial functions or office administration would be useful Interpersonal Skills: • Professional outlook • Ability to communicate and interact with stakeholders, senior staff and people from diverse background Organisational Skills: • Highly organised in planning meetings, documentation requirements and procedural workflow. • Discreet and interpersonal and communicative abilities, both written and oral. • High level of confidentiality and exercise sound judgement. Technical Skills: • Applying corporate governance best practices • Minute taking, drafting and proof reading skills with attention to detail • Diary management and/or organising meeting and calendars
