KEY RESPONSIBILITIES:

• Ensure that the charity is operating in accordance with its constitution, bylaws, and applicable legislation and regulations; most prominently ACNC and ASIC. • Maintain accurate and up-to-date records of the charity's activities, including minutes of board meetings, financial records, and other legal documents. • Ensure that the charity's governance structures and policies are effective and aligned with best practice. • Provide guidance and support to the Board of Directors on matters related to legal compliance, risk management, and governance. • Advise the management team on legal and regulatory matters affecting the charity's operations. • Ensure that the charity's activities are in line with its mission and values, and that its actions are consistent with its obligations to its stakeholders, including beneficiaries, donors, and employees. • Manage the process of board appointments and provide support to the board on matters related to succession planning and board evaluation. • Develop and implement policies and procedures to ensure compliance with relevant laws, regulations, and industry standards. • Coordinate the charity's annual general meeting and other key events. • Liaise with external stakeholders, including regulators, auditors, lawyers, and other professional advisors

IDEAL REQUIREMENTS:

• Relevant tertiary qualifications in business, law, or a related field. • Experience in a company secretary or similar role, preferably in the not-for-profit sector. • Knowledge of relevant legislation and regulations affecting charities in Australia. • Strong analytical and problem-solving skills. • Excellent communication and interpersonal skills. • Ability to work independently and manage multiple tasks simultaneously. • High level of attention to detail and accuracy. • Demonstrated commitment to ethical and transparent governance practices.

The Company Secretary is also a member of the Board of Directors which meets as often as required. The current Company Secretary estimates that he spends 4-5 hours a week on KBFK duties but this does include some voluntary operational tasks not included within this job description. Requirements are much lower during school holidays when the charity’s operations tend to slow.
