KEY RESPONSIBILITIES

Provide strategic and governance oversight in alignment with MLI’s constitution and purpose.

Governance & Compliance: Maintain statutory registers, filings, and governance documentation to ensure MLI meets its obligations under the Corporations Act and ACNC requirements.

Board Administration: Prepare and circulate Board agendas, minutes, and resolutions accurately and on time to support efficient Board operations.

Advisory Support: Provide governance and compliance advice to the Chair, CEO, and Board, ensuring decisions align with MLI’s constitution, policies, and values.

Member Induction & Development: Support the induction of new Board members and contribute to the ongoing development of governance capability across the Board.

Audit & Reporting: Liaise with auditors, assist with financial reporting, and coordinate the preparation and lodgement of annual returns.

Governance Practices: Embed transparent, ethical, and culturally inclusive governance processes that reflect MLI’s collaborative and valuesdriven culture.

DESIRED SKILLS AND ATTRIBUTES

Legal, governance, or company secretary qualifications (or equivalent experience). Strong understanding of not-for-profit governance and reporting obligations. Financial literacy and attention to detail. Integrity, discretion, and cultural humility. Alignment with MLI’s mission, values, and systems-change ethos.

KEY COMPETENCIES

Governance Expertise: Demonstrated understanding of ACNC and Corporations Act requirements, with experience supporting Boards to meet compliance, reporting, and record-keeping standards.

Strategic Judgement: Ability to translate governance and legal requirements into clear, practical processes that enable effective decision-making and organisational accountability.

Emotional Awareness: Demonstrate empathy and integrity towards others and make sound, emotionally intelligent judgements in complex situations.

Adapting to Change: Ability to role model a matured form of personal resilience and a positive and proactive attitude towards individual and group transformational change.

Ability to Problem Solve: Proactively move beyond problem identification and analysis to concrete propositions for solutions; including an ability to provoke, inspire, motivate this in others as well.

BOARD STIPEND This is a voluntary role. MLI may provide a small annual stipend to acknowledge the time, care, and contribution of Board members in advancing our mission.
