We’re looking for a volunteer Company Secretary to play a key role in ensuring our Foundation maintains strong governance practices and meets its legal and regulatory obligations. This is a unique opportunity to contribute your expertise to a growing, purpose-driven organisation committed to making a real difference in the community.

Key Responsibilities:

• Support the effective operation of the Board, including annual Board meeting calendar, scheduling meetings, preparing agendas, and taking accurate minutes
• Maintain statutory registers, records, and ensure timely lodgment of required filings with relevant authorities (e.g. ACNC, ASIC)
• Advise the Board and CEO on governance best practices and regulatory obligations
• Ensure compliance with the organisation’s Constitution, policies, and risk management frameworks
• Support annual reporting processes and the coordination of the AGM
• Act as a trusted advisor to the Chair and CEO on governance and procedural matters

Skills and Experience:

• Prior experience as a Company Secretary or in a governance/compliance role (ideally in the not-for-profit or charitable sector, or strong desire to utilise your skills in this area)
• Strong understanding of Australian corporate and charity law, ACNC and ASIC compliance
• Excellent organisational, communication, and stakeholder management skills
• High level of integrity and discretion, with the ability to maintain confidentiality
• Comfortable working remotely and independently, with access to reliable technology
• Governance qualifications (e.g. GIA/CSS or legal background) are highly regarded but not essential
