Protected Cropping Australia

Protected Cropping Australia Ltd (PCA) is looking for an independent Director, with senior financial skills, to join its Board.

Protected Cropping Australia (PCA) is the peak industry body representing commercial hydroponic and greenhouse growers Australia wide. PCA members also include equipment and installation suppliers, specialist consultants and advisors, researchers, and educators. Our core purpose is to advocate on behalf of our industry members. We also deliver a range of programs, services and opportunities that help businesses and industries achieve greater success. We have a small team which manages the operations of the association and delivers on the Board’s strategy.

Our Board of up to nine non-executive Directors is made up of seven industry-based Directors, and one independent non-executive Director (who brings an education-based skillset). This role is the second independent Director role and seeks to fill an identified skills-gap in the guidance of our financial activity. This role will also hold the position of Chair of the Finance, Audit and Risk Committee.
You will be a person with strong ethics and integrity, able to prioritise PCA’s interests, whilst being mindful of conflicts of interest. You will be a person who understands the not-for-profit environment, and who is committed to the effective operation of the Board, and the success of the association.

As a non-executive director, you will work collaboratively with your Board colleagues, the Company Secretary, and the team to:

• Develop annual operating budgets and review periodically. • Review and provide financial reports and interpretation at Board meetings. • Provide strategic financial advice. • Assist in the development of the association’s strategic plan. • Ensure the effective and independent oversight of PCA’s finance, risk, and audit obligations. • Uphold and promote PCA’s vision, mission and purpose including strategic priorities. • Actively contribute to the effective functioning and productivity of the Board. • Assist in the development of financial and risk policies.

Director Fees/Expenses

The role is not accompanied by any financial remuneration, although expenses may be claimed for travel costs incurred in connection with the affairs of PCA and in accordance with company policies. As an Independent Director, you will be credited with an individual membership of $275 or a pro rata rate for a Corporate Membership to the same value (If applicable).

Anticipated commitment

There are six board meetings per annum, each of two-hours’ duration. Additional meetings may be called from time-to-time to address specific needs. The Finance, Audit and Risk Committee meets four times per annum for up to 2-hours at a time. It is anticipated that each Director will be called upon to contribute approximately five hours per week (on average) to PCA activity.
