Pro bono Legal Counsel

Position Description We are looking for an Australian qualified lawyer to join our team as Legal Counsel. Our team includes the Board of Trustees, executives, and other supporters. Our tenant partners include visual artists, theatre producers, and emerging performers and musicians. The successful candidate will likely be a career lawyer with c. 15+ PQE, or a particularly ambitious and talented mid-senior level (5-6+ PQE) lawyer, with the skillset and ambition to become a strong case manager and trusted ‘second chair’ and advisor to the Board of Trustees. A mix of legal experience, particularly in projects and corporate governance, is required. Ideally, candidates will also have some experience of, and appetite for, the expansion and growth of long standing institutions.

The Legal Counsel for Newtown School of Arts Trust plays an important role in supporting the effectiveness of the Trust, maintaining responsibility for high-level executive advice. This is a voluntary position, requiring about 8 to 10 hours per month. This will include attending a minimum of one Board meeting every Quarter (3 months) on the second Monday of each month at 5pm for 2 hours, plus a minimum of 1 hour per week during office hours along with the execution of project work. Our usual office is located in Newtown. There are other potential locations nearby, and there is the flexibility of virtual meetings and remote work.

• Conduct your duties with care and diligence; • Conduct your duties in good faith and for proper purpose; • Not improperly use information obtained by virtue of their position; • Deliver clear and user-friendly legal and strategic advice; • Assist with legal aspects of ongoing projects, working as part of a team; • Review relevant documents associated with ongoing projects; • Provide advice on strategy; • Assist our legal team and our development subcommittee on occasion with drafting agreements.

Key Projects: Provide advice, guidance to help execute key objectives in strategic development projects such as: • Working closely with the Chair and General Manager, to register the organisation as a charity. This includes but is not limited to, updating the organisation’s governing document, supporting the selection of appropriate charity subtypes, and applying for endorsement as a DGR. • Contracting for the new high-level occupancy and use of the building by international theatre producers. • The upgrade and expansion of the building and the securing of service providers and the compiling of a development application. • The furthering of the possessory claim for Eliza Lane and the examination of the benefits of the recent liquor license extension which now includes the lane.

Selection Criteria • High quality, client-focused lawyer with impressive technical and commercial skills • Corporate governance or business experience highly preferred • Intellectually strong; excellent verbal and written communication abilities • Qualified in Australia, ideally c. 15+ PQE though we are open to an ambitious mid-level lawyer • Experience in pro bono, corporate governance, risk, commercial law, projects, real estate or finance • Pro bono experience also of interest • Strong inter-personal and engagement skills • Tenacious and enthusiastic approach to meet and surpass the expectations of our Board of Trustees • Confident and self-motivated • Able to take on a high degree of responsibility and manage a dexterous workload • Accustomed to working collaboratively with colleagues, clients and external parties • Ability to proactively identify relevant risks and legal issues • Ability to apply the law to novel situations and to demonstrate the ability to find pragmatic and creative solutions where appropriate • High level of integrity including proven capacity to manage sensitive and confidential information
