1. Who is Women of Colour Australia (WoCA)

Women of Colour Australia (WoCA) is a not-for-profit organisation and a registered charity established in August 2020. We are run by women of colour for women of colour. We exist to champion Australia’s women of colour through programs of education, community support initiatives, and advocacy work.

Our Vision: A world where girls and women of colour are afforded equitable opportunities to reach their full potential.

Our Purpose: To advocate, support, and strengthen the lives and experiences of Women of Colour in all places and spaces in Australia.

2. The Company Secretary's Duties

The Company Secretary should:

  • Minimum 2 years experience in the role of Company Secretary for NFPs
  • Able to take minutes of all Board and Board sub-committee meetings ensuring minutes are distributed in a timely manner
  • Able to commit the time to attend all such meetings
  • Work with the respective Chairs to establish workplans and meetings
  • Ensure matters arising are maintained and followed up with all responsible parties for the matters to be resolved
  • Ensure agenda and papers are collated in a timely manner and distributed with sufficient notice period
  • Understand the full governance requirements of a Company Secretary role and able to advise the Board Chair and Sub-Committee Chairs if these governance principles are not being followed
  • Understand all statutory requirements of ACNC and ASIC
  • Able to do the role independently without a lot of supervision
